1. Acceptance of Terms

By accessing and using Quaffable ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use the Service.

2. Service Description

Quaffable provides wine club management, customer relationship management (CRM), and business intelligence tools for wineries and distilleries. The Service is provided on a subscription basis with pricing determined by the number of active members.

An "active member" is defined as a member with a valid payment method and activity within the last 12 months.

3. Pricing and Payment

Subscription Fees: The Service is billed at $2 per active member per month (plus GST). Monthly and annual billing options are available, with a 20% discount applied to annual plans paid upfront.

Billing Methods:

  • Stripe Connect users are billed automatically via payouts
  • Shopify users are billed through monthly Shopify invoices
  • Annual plans are invoiced and paid upfront

Important: Annual pricing is not supported for Shopify customers.

There are no transaction fees or long-term contracts. You may cancel your subscription at any time.

4. User Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Ensuring the accuracy of customer data you input into the Service
  • Compliance with all applicable laws and regulations in your jurisdiction
  • Obtaining necessary consents from your customers for data processing

5. Data Privacy and Security

We take data privacy and security seriously. Customer data is stored securely using proven hosting providers. We do not sell or share your customer data with third parties except as necessary to provide the Service (e.g., payment processing through Stripe).

You retain ownership of all customer data you input into the Service. Upon termination of your subscription, you may request an export of your data.

6. Service Availability

While we strive to provide continuous service availability, we do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance and updates that may temporarily affect service availability.

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is the property of Quaffable and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Quaffable shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

9. Termination

You may terminate your subscription at any time through your account settings. We reserve the right to suspend or terminate your access to the Service if you violate these terms or engage in fraudulent activity.

Upon termination, you will be billed for any outstanding fees, and you will lose access to the Service. Data exports must be requested before termination.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Tasmania, Australia, without regard to its conflict of law provisions.
